Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “Customer”) and The ANED Group, operated and managed by ANED Development Center (“we,” “us,” or “our”), governing your access to and use of the ANED DB platform, including the dashboard, APIs, SDKs, CLI tools, documentation, and any related services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use the Service.
2. Account Terms
- You must be at least 16 years of age to use the Service.
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the security and confidentiality of your account credentials, API keys, and access tokens.
- You are responsible for all activity that occurs under your account, whether authorized by you or not.
- You must immediately notify us of any unauthorized use of your account or any security breach at security@anedcenter.com.
- You may not use the Service for any purpose that is illegal or prohibited by these Terms.
- One person or legal entity may maintain no more than one free account.
3. Service Description
ANED DB is a backend-as-a-service platform that provides:
- Managed PostgreSQL databases with automatic backups and connection pooling
- Auto-generated REST APIs from your database schema
- Realtime subscriptions via WebSockets
- Authentication and Row Level Security (RLS)
- S3-compatible file storage
- Edge functions (serverless compute)
- Dashboard, CLI tools, and SDKs
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes at least 30 days in advance.
4. API Usage and Rate Limits
Your use of the ANED DB APIs is subject to the following terms:
- Rate limits: API requests are subject to rate limits based on your subscription plan. Exceeding rate limits may result in temporary throttling (HTTP 429 responses).
- API keys: You are responsible for securing your API keys. Do not embed service role keys in client-side code. Use the anon key for client applications and enforce security through RLS policies.
- Fair use: While Pro plans include “unlimited” API requests, this is subject to fair use. Sustained usage significantly exceeding normal application patterns may be reviewed.
- Programmatic access: You may access the Service programmatically through our official APIs, SDKs, and CLI tools. Scraping, reverse engineering, or circumventing rate limits is prohibited.
- Versioning: We version our APIs and will maintain backward compatibility within a major version. Deprecation of API versions will be communicated with at least 12 months notice.
5. Data Ownership and Intellectual Property
Your Data: You retain all rights, title, and interest in and to any data you store in the Service (“Customer Data”). We do not claim ownership of your Customer Data. You grant us a limited license to host, store, transfer, and process your Customer Data solely for the purpose of providing the Service.
Our Service: The Service, including its design, features, source code, documentation, and trademarks, is owned by The ANED Group. These Terms do not grant you any rights to use our trademarks, logos, or brand assets without prior written consent.
Feedback: If you provide suggestions, ideas, or feedback about the Service, we may use it without restriction or obligation to you.
Data portability: You may export your Customer Data at any time using the dashboard, API, CLI, or standard PostgreSQL tools (pg_dump). We support full data portability and do not impose lock-in.
6. Prohibited Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Store or transmit malicious code, viruses, or harmful data.
- Conduct or facilitate any form of harassment, abuse, or threats.
- Distribute spam, phishing, or fraudulent content.
- Mine cryptocurrency or perform computationally abusive workloads.
- Attempt to gain unauthorized access to the Service, other accounts, or infrastructure.
- Circumvent or interfere with security features, rate limits, or access controls.
- Resell or redistribute the Service without our written consent.
- Store data subject to regulatory requirements (e.g., HIPAA, PCI-DSS) without an appropriate Enterprise plan and Data Processing Agreement.
- Use the Service in any manner that could damage, overburden, or impair the platform.
Violations may result in immediate suspension or termination of your account. See our Acceptable Use Policy for detailed guidelines.
7. Payment and Billing
- Free plan: The Free plan is provided at no cost with usage limits as described on our pricing page. We reserve the right to modify Free plan limits with 30 days notice.
- Paid plans: Paid subscriptions are billed monthly or annually in advance. Prices are in US dollars unless otherwise stated.
- Upgrades and downgrades: Plan changes take effect immediately. Upgrades are prorated for the remaining billing period. Downgrades take effect at the start of the next billing cycle.
- Overages: If your usage exceeds your plan limits, you will be charged overage fees at the rates published on our pricing page, or we may throttle access until the next billing cycle.
- Taxes: Prices do not include taxes. You are responsible for all applicable taxes.
- Refunds: Paid subscriptions are non-refundable except where required by law. If you cancel, you will continue to have access until the end of your current billing period.
8. Service Level and Availability
We target 99.9% uptime for Pro plans and 99.99% uptime for Enterprise plans. Uptime is measured monthly and excludes scheduled maintenance windows. Our Service Level Agreement (SLA) for Enterprise customers is provided as a separate document.
Scheduled maintenance windows will be communicated at least 48 hours in advance via email and our status page. We make commercially reasonable efforts to minimize downtime and schedule maintenance during low-traffic periods.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- IN NO EVENT SHALL ANED GROUP, ANED DEVELOPMENT CENTER, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
- OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
- WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM YOUR FAILURE TO MAINTAIN THE SECURITY OF YOUR ACCOUNT CREDENTIALS OR API KEYS.
10. Indemnification
You agree to indemnify, defend, and hold harmless The ANED Group, ANED Development Center, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your Customer Data, or (d) your violation of any third-party rights.
11. Termination
- By you: You may terminate your account at any time through the dashboard settings. Upon termination, your access to the Service will end and your Customer Data will be deleted within 30 days.
- By us: We may suspend or terminate your account if you violate these Terms, the Acceptable Use Policy, or if required by law. We will provide reasonable notice except in cases of severe violations requiring immediate action.
- Effect of termination: Upon termination, your right to use the Service ceases immediately. We will provide a 30-day grace period for you to export your Customer Data before deletion, unless the account was terminated for abuse.
- Survival: Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.
12. Dispute Resolution
Any disputes arising from these Terms or the Service will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration in accordance with applicable rules, unless you are in a jurisdiction that requires access to courts.
You agree to resolve disputes on an individual basis and waive the right to participate in class actions, to the extent permitted by applicable law.
13. General Provisions
- Modifications: We may update these Terms from time to time. Material changes will be notified at least 30 days in advance. Continued use of the Service after changes constitutes acceptance.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
- Entire agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable SLA or DPA, constitute the entire agreement between you and us regarding the Service.
